1.      Introduction

1.1   These Terms and Conditions ("Terms") govern your use of the SaaS chatbot service "csb Juliet" provided by Consui Limited ("we," "us," "our").

1.2   By accessing or using our service, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not use our service.

1.3   These Terms apply to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

1.4   By using the service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the service on behalf of an organisation, you represent and warrant that you have the authority to bind the organisation to these Terms.

1.5   We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the service following the posting of any changes constitutes acceptance of those changes.

1.6   Our Privacy Policy, available on our website, explains how we collect, use, and disclose information that pertains to your privacy. By using the service, you agree to our collection, use, and disclosure practices, and other activities as described in our Privacy Policy.

1.7   Our service may include access to third-party tools and services over which we have no control or input. You acknowledge and agree that we provide access to such tools and services "as is" and "as available" without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools and services.

1.8   You agree to use our service in accordance with all applicable local, national, and international laws and regulations. You are solely responsible for ensuring that your use of the service is in compliance with all applicable laws, rules, and regulations.

 

2.      Company Information

2.1   Consui Limited is a company registered in England and Wales, incorporated since 11 September 2000, under company number 04069157. Our registered office is located at 25 Leeming Road, Borehamwood, Hertfordshire, England, WD6 4EB.

2.2   We operate under the trading names AiBoosters and AiBoosters UK, which reflect our dedication to advancing artificial intelligence technology.

 

3.      Services

3.1   Consui Limited provides a Software as a Service (SaaS) chatbot known as "csb Juliet." This service offers advanced, secure, and private communication solutions designed to cater to a variety of customer needs. The chatbot utilises state-of-the-art artificial intelligence to facilitate seamless communication.

3.2   The artificial intelligence engine utilised by the "CSB Juliet" chatbot is entirely internal and proprietary to Consui Limited. This engine is not shared with third parties and operates with complete privacy. Consui Limited has no knowledge of, nor access to, the conversations conducted by you via the chatbot, as these interactions are processed in an automated and secure manner. All chatbot responses and functionalities are generated without human intervention, thereby ensuring the confidentiality and privacy of your communications.

3.3   We are committed to continually improving "csb Juliet" and may introduce updates and new features to enhance the service. Users will be informed of significant updates or changes to the service, ensuring transparency and continuous service quality.

 

 

4.      Chat Interface Integration and Responsibilities

4.1   The chat interface for the "CSB Juliet" chatbot is delivered via code injection into your website. An API will also be available in the future. "CSB Juliet" seamlessly integrates into your website, enhancing the user experience and optimising real-time communication. By utilising the "CSB Juliet" chatbot, you agree to the injection of the chatbot code into your website. This technical integration is essential for the chatbot to function properly and deliver its services effectively. The injection of the "CSB Juliet" chatbot code facilitates direct interaction with your website visitors, providing automatic responses and assistance based on the artificial intelligence developed by Consui Limited.

4.2   Responsibilities:

a)     We take utmost care to ensure that the code provided does not interfere with your website's existing code or functionality. In the event that any such interference occurs, we will take appropriate measures to modify the chatbot code. If the issue cannot be resolved, we reserve the right to terminate the service and provide a full refund of any amounts paid by you.

b)     You acknowledge that the functionality of the "CSB Juliet" chatbot is dependent on the operational status of your website. If your website experiences downtime, this may impact the availability of the chatbot service. Consui Limited is not responsible for such downtime and its effects on the chatbot's functionality.

c)      While we strive to ensure the security and performance of the "CSB Juliet" chatbot, there may be unforeseen influences on safety and speed due to the integration with your website. Both parties share responsibility in ensuring the overall security and performance of the integrated services.

 

 

 

 

5.      Limitations on Chatbot Deployment

5.1   The "CSB Juliet" chatbot cannot be deployed on every webpage simultaneously due to security measures designed to prevent potential misuse. In instances where the same webpage is opened multiple times or accessed by the same visitor on different devices, only the first opened instance will be serviced.

5.2   Should you require additional chatbots for deployment across multiple pages, you must purchase separate subscriptions for each instance.

 

6.      Account Registration, Security, and Responsibility

6.1   To use certain features of the service, you must register for an account. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. When creating an account, you must provide accurate, current, and complete information as prompted by the registration form. This includes, but is not limited to, your name, email address, and payment information. You agree to promptly update your account information to keep it accurate, current, and complete.

6.2   As the customer and account holder, you maintain an account with Consui Limited and have access to the configuration page for the "CSB Juliet" chatbot. You may grant access to additional individuals as necessary to facilitate the configuration and management of the chatbot.� You are solely responsible for any information provided to visitors (individuals using the chatbot to ask questions and seek assistance) through the chatbot and for the content generated by the chatbot's responses. We have no obligation towards the visitors and will not be liable for any interactions between the chatbot and the visitors. Visitors are required to provide their name, first name, and email address prior to using the chatbot; however, this information is not subject to verification.

6.3   You are responsible for maintaining the confidentiality of your account login information, including your username and password. You must not share your account credentials with anyone else or allow others to access your account. You agree to immediately notify us at support@consui.com if you become aware of any unauthorised use of your account or any other breach of security. You are responsible for all activities that occur under your account, whether or not you know about them.

6.4   We reserve the right to suspend or terminate your account at any time, without prior notice, if you breach these Terms or engage in any activity that we deem harmful to the service, other users, or us.

6.5   You may terminate your account at any time by deleting your account or contacting us at support@consui.com. Upon termination, you will lose access to the service and any data associated with your account.

6.6   Upon termination of your account for any reason, your right to use the service will immediately cease. We may delete any data associated with your account, and we will not be liable to you or any third party for any termination of your account or loss of data.

6.7   We reserve the right to monitor your account activity to ensure compliance with these Terms and to improve our services. If we detect any suspicious activity on your account, we may take appropriate action, including suspending or terminating your account and reporting the activity to relevant authorities.

6.8   If you forget your password or otherwise lose access to your account, you can initiate an account recovery process by following the instructions on our website or contacting us at support@consui.com. As part of the account recovery process, we may require you to provide additional information to verify your identity.

 

7.      Subscription and Cancellation

7.1   We offer various subscription plans to meet the diverse needs of our customers. Details of the available plans, including features and pricing, are provided on our website. Subscriptions are billed in advance on a monthly basis, commencing on the day you activate your subscription following the trial period. The billing cycle begins on the date your trial period ends and continues on the same date each month thereafter.

7.2   New users are eligible for a 14-day unpaid trial period, during which they can access the full range of features offered by the "csb Juliet" chatbot. To activate the trial period, you must provide valid credit card information. No charges will be made to your card during the trial period. At the end of the 14-day trial, your subscription will automatically convert to a paid monthly subscription unless you cancel before the trial period ends.

7.3   All payments are processed securely through Stripe. You must provide current, complete, and accurate billing information. By subscribing, you authorise us to charge the applicable subscription fees to your provided payment method.

7.4   If a payment is not successfully settled due to expiration, insufficient funds, or otherwise, we may suspend access to the service until the payment is successfully processed.

7.5   You can manage your subscription, including upgrading, downgrading, or cancelling your plan, through your account settings on our website. Any changes to your subscription plan will take effect at the start of the next billing cycle. If you upgrade your plan, the new features will be available immediately, and the new pricing will apply from the next billing cycle.

7.6   You may cancel your subscription at any time through your account settings or by contacting customer support at support@consui.com. Cancellation will take effect at the end of your current billing period. You will retain access to the service until the end of the billing period, but no further charges will be made. Subscription fees are non-refundable. If you cancel your subscription, you will not receive a refund or credit for any partial billing periods, except as required by law.

7.7   Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription prior to the renewal date. We will notify you in advance of any changes to subscription fees or terms that may affect your renewal. We reserve the right to terminate your subscription and access to the service if you breach these Terms or engage in any activity that is harmful to the service, other users, or us. In such cases, you will not be entitled to a refund of any prepaid fees.

7.8   If your subscription is cancelled or terminated, you may reactivate your subscription at any time by logging into your account and selecting a new subscription plan. We will retain your data for a reasonable period after cancellation or termination to facilitate reactivation, but we cannot guarantee data retention beyond this period.

 

8.      Acceptable Use Policy

8.1   Our services are intended for your personal and business use only. You must not resell, redistribute, or sublicence access to our services to any third party without our express written consent. You must use our services only for their intended purpose and in accordance with these Terms. Misuse of our services is prohibited.

8.2   You agree to use our services only for lawful purposes and in accordance with these Terms and any applicable laws and regulations. You must not engage in any activities that violate these Terms, infringe upon the rights of others, or harm our services or reputation.

8.3   You must not upload, share, or transmit any content that is illegal, infringes upon the intellectual property rights of others, or violates any applicable laws or regulations. Content that is defamatory, obscene, offensive, discriminatory, or promotes hate or violence is strictly prohibited. You must not upload or distribute any content that contains viruses, malware, or any other harmful software that could damage our systems or the systems of other users.

8.4   You must not attempt to gain unauthorised access to our services, systems, or networks, or to any accounts or data belonging to other users. You must not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of our services.

8.5   You must not engage in spamming or any form of unsolicited advertising or promotions through our services. Any use of our services that disrupts, interferes with, or excessively consumes our resources or the resources of other users is prohibited.

8.6   You must not impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.

8.7   If you become aware of any violation of this Acceptable Use Policy by another user, you should report it to us immediately at support@consui.com. We will investigate reported violations and take appropriate action as necessary to enforce this policy.

 

9.      Intellectual Property

9.1   Consui Limited retains all rights, title, and interest in and to its services, including all intellectual property rights. These Terms do not transfer any intellectual property rights from Consui Limited to you or any third party.

9.2   Subject to these Terms, Consui Limited grants you a limited, non-exclusive, non-transferable, and revocable licence to use its services for your personal or business use as permitted by these Terms. Pursuant to Clause 6 above, you must not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on our services, except as expressly permitted by applicable law.

9.3   You acknowledge that our website incorporates a proprietary component known as LZW, developed by Hans Wendel van Hespen. The copyright for this component belongs solely to Hans Wendel van Hespen and not to Consui Limited. LZW is a unique technology used for securing communication on our platform. Hans Wendel van Hespen grants Consui Limited a non-exclusive, worldwide, royalty-free licence to use the LZW component solely for the purpose of providing our services to you.

9.4   "Consui Limited," "AiBoosters," and "csb Juliet" are trademarks of Consui Limited. You are not permitted to use these trademarks without our prior written consent. Any use of our trademarks must not imply endorsement by Consui Limited or affiliation with Consui Limited without our express permission.

9.5   We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content on our services infringes your copyright, you may submit a notice of infringement to us at support@consui.com. We will promptly investigate and take appropriate action, including removing or disabling access to the infringing content.

9.6   We welcome your feedback, suggestions, or ideas regarding our services. You agree that any feedback, suggestions, or ideas you provide are voluntary and that we may use such feedback without obligation to you.

9.7   You must respect the intellectual property rights of third parties when using our services. You must not upload, share, or transmit any content that infringes upon the intellectual property rights of others.

 

10. User Content

10.1                     You retain ownership of any content, data, or materials that you upload, share, or transmit through our services ("User Content"). Consui Limited is committed to keeping all data shared by you under strict security and privacy measures. Each user's data is managed in a separate scheme, ensuring that your information is not mixed with another's. This approach protects the integrity and confidentiality of your data, minimising any risk of unauthorised access or information leakage. Consui Limited will never use your User Content for publication, promotional purposes, or any other purposes. Your privacy is a key priority for us, and we ensure that your User Content remains confidential and secure.

10.2                     You are solely responsible for the accuracy, legality, and appropriateness of all User Content that you upload, share, or transmit through our services.

10.3                     We reserve the right, but not the obligation, to monitor, review, and remove User Content that we determine, in our sole discretion, violates these Terms or is otherwise inappropriate. We may notify you if we remove User Content from our services, but we are not obligated to do so.

10.4                     User Content that you choose to share publicly through our services may be accessible to other users and the public. You are solely responsible for determining which User Content you share publicly and for any consequences of sharing such content.

10.5                     We may modify or adapt User Content as necessary to conform to technical requirements of our services, ensure compliance with these Terms, or improve our services.

 

11. Disclaimers

11.1                     Our services are provided on an "as-is" and "as-available" basis. We make no representations or warranties of any kind, express or implied, regarding the reliability, suitability, availability, or accuracy of our services.

11.2                     We do not guarantee that our services will be uninterrupted or error-free, or that any defects will be corrected. We make no guarantees regarding the results that may be obtained from the use of our services, including the accuracy or reliability of any information obtained through our services.

11.3                     Our services do not constitute professional advice of any kind, whether legal, financial, medical, or otherwise. You should consult appropriate professionals for specific advice tailored to your situation.

 

12. Limitation of Liability and Indemnification

12.1                     In no event shall Consui Limited, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in any way connected with the use or inability to use our services, whether based on contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

12.2                     Nothing in these Terms shall exclude or limit liability for death or personal injury resulting from negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

12.3                     To the extent permitted by law, the total liability of Consui Limited and its affiliates, officers, employees, agents, suppliers, and licensors, arising out of or relating to your use of our services shall not exceed the greater of �100 or the amount you paid to us, if any, for using our services during the twelve months preceding the claim.

12.4                     You acknowledge and agree that we have set our prices and entered into these Terms in reliance upon the limitations of liability set forth herein, which reflect a reasonable and fair allocation of risk between the parties.

12.5                     You agree to indemnify, defend, and hold harmless Consui Limited and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of our services, including but not limited to your violation of these Terms or any third party's rights.

12.6                     Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you to some extent.

 

13. Governing Law and Dispute Resolution

13.1                     These Terms are governed by and construed in accordance with the laws of England and Wales.

13.2                     In the event of any dispute arising out of or relating to these Terms or the use of our services, the parties agree to first attempt to resolve the dispute informally and in good faith by negotiation between representatives of the parties who have authority to settle the dispute.

13.3                     If the parties are unable to resolve the dispute through negotiation within 30 days from the date that either party sends a written notice of the dispute to the other party, the dispute shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted by a single arbitrator appointed in accordance with the LCIA rules. The seat of arbitration shall be London, England. The language of the arbitration shall be English.

13.4                     You agree that any arbitration or legal proceedings shall be conducted on an individual basis and not as a class, collective, or representative action. Class arbitrations and class actions are hereby waived.

13.5                     The decision of the arbitrator shall be final and binding on the parties.

13.6                     The parties agree that the English courts shall have exclusive jurisdiction over any proceedings relating to the enforcement of an arbitration award or any other interim or final relief in aid of arbitration.

13.7                     Notwithstanding the foregoing, either party may bring a claim seeking injunctive or other equitable relief in any court of competent jurisdiction.

 

14. Termination

14.1                     We may terminate or suspend your access to the service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

 

15. Force Majeure

15.1                     We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, natural disasters, strikes, or government regulations.

 

16. Severability

16.1                     If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.2                     The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

 

 

 

17. Entire Agreement

17.1                     These Terms constitute the entire agreement between you and us regarding the use of the service and supersede all prior agreements and understandings, whether written or oral, regarding the service.
